SECTION 8 — NON-DISCLOSURE AGREEMENT (NDA)
Proprietary Recipes & Business Information
This Non-Disclosure Agreement ("Agreement") is entered into between ACM Creative Concepts LLC and its affiliated entities (Mixfits LLC dba Graffiti Pasta, Heyday Celina Pop LLC dba HEYDAY, Nook CKMC LLC dba The Nook) ("Company") and the undersigned employee ("Employee").
1. Confidential Information
Employee acknowledges that during their employment they will have access to confidential and proprietary information including but not limited to:
- Food and beverage recipes, formulas, and preparation methods
- Sauce recipes, cocktail recipes, and proprietary menu items
- Vendor relationships, pricing, and supplier information
- Business strategies, financial information, and operational systems
- Customer data and guest information
- Franchise development plans and intellectual property
2. Non-Disclosure Obligation
Employee agrees to:
- Hold all Confidential Information in strict confidence
- Not disclose, share, publish, reproduce, or use any Confidential Information outside of their duties at the Company
- Not photograph, copy, or record recipes, formulas, or preparation methods
- Not use Confidential Information for personal benefit or the benefit of any third party
3. Duration
This obligation continues during employment AND for a period of two (2) years following the end of employment for any reason.
4. Return of Information
Upon separation from employment for any reason, Employee agrees to return all physical and digital materials containing Confidential Information.
5. Remedies
Employee acknowledges that a breach of this Agreement would cause irreparable harm to the Company for which monetary damages may be inadequate, and agrees that the Company shall be entitled to seek injunctive relief in addition to any other remedies available.
6. Governing Law
This Agreement shall be governed by the laws of the State of Texas.
